UGC Content Agreement

1. Parties

This agreement is between [Brand name] ("Brand") and [Creator name] ("Creator"). It takes effect when both parties sign below.

2. Scope of work

Creator will produce the following content for Brand: 3 vertical videos, 30 to 60 seconds each, with 2 hook variations per video.

This is a user-generated content (UGC) engagement. Creator delivers the finished files to Brand and has no obligation to publish the content on Creator's own accounts.

Files are delivered in 9:16 vertical format at 1080p or higher, without background music unless agreed, with raw footage available on request.

3. Timeline and approvals

Creator will submit first drafts by [draft date]. Brand will give consolidated feedback within 3 business days of each draft.

The fee includes 2 round(s) of revisions. A revision is a change to the delivered draft, not a new concept. Further rounds or reshoots are billed separately at a rate agreed in writing.

Content is final once Brand approves it in writing or 5 business days pass after delivery with no feedback.

4. Compensation

Brand will pay Creator $900.00 (USD) for the work in section 2. Payment terms: 50% on signing, 50% on final delivery.

The fee covers creation only, plus the usage rights listed in section 5. Any additional usage, longer term or extra channel is licensed separately.

Any product supplied for the content is not part of the fee and does not need to be returned unless stated in writing.

5. Ownership and usage rights

Creator keeps ownership and copyright of all content and grants Brand a non-exclusive license as set out below.

License term: 90 days, starting on the date the content is approved.

Licensed channels: Brand organic social, Paid social ads.

Brand may not run ads through Creator's own handle (whitelisting) under this license.

When the license term ends, Brand will stop running the content in paid ads and new placements. Organic posts already published may remain.

Brand may trim, crop, caption and resize the content but will not alter it in a way that changes its meaning or misrepresents Creator.

6. Exclusivity

There is no exclusivity. Creator is free to work with other brands, including competitors.

7. Disclosure and compliance

Brand is responsible for how the content is labelled when it runs as Brand advertising, following the FTC Endorsement Guides, using a clear #ad or "Paid partnership" label at the start of the caption.

Brand confirms that any product claims in the brief are accurate and can be substantiated. Creator will only say what Creator has been briefed to say or genuinely believes.

8. Cancellation

If Brand cancels after signing and before final delivery, Brand will pay a kill fee of 50% of the total fee, plus any approved expenses already incurred. If Creator cannot deliver, Creator will refund any amount paid for undelivered work.

Either party may end this agreement if the other materially breaches it and does not fix the breach within 7 days of written notice.

9. General

Creator is an independent contractor, not an employee of Brand. This document is the whole agreement and can only be changed in writing signed by both parties.

What a UGC contract must include

Seven things: who the parties are, the exact deliverables, deadlines and revision rounds, the fee and when it is paid, who owns the content and how the brand may use it, any exclusivity, and what happens if the deal is cancelled. If one is missing, that is where the dispute will happen.

The difference from an influencer contract is the posting obligation. A UGC creator delivers files and never posts to their own audience, so the usage rights clause is the whole commercial deal. An influencer contract adds go-live dates, how long posts stay up, tags, links and disclosure on the creator's own account.

How to price UGC usage rights

Price usage as its own line, never bundled into the content fee. A base UGC rate covers creating the video and organic posting by the brand. Paid usage is extra because the brand is turning your video into an ad it can scale.

Rule of thumb: 30 days of paid usage adds 25% to 50% to the base fee. 90 days adds 50% to 75%. Perpetual rights add 75% to 150%. Whitelisting (ads run through your own handle) is priced on top of that, usually 20% to 50% of the base fee per month, because it rents your name as well as your footage.

If a brand asks for perpetual, unlimited rights at the base rate, you are handing over a permanent ad asset for the price of one afternoon of filming. Counter with a fixed term and a renewal price.

Whitelisting and Spark Ads

Whitelisting means the brand runs ads from your account, through Meta partnership ads or TikTok Spark Ads. The ad shows your handle, which usually performs better than the same video posted from the brand's page.

Your contract should say how long access lasts, that you can see and approve every ad before it runs, and that the brand cannot edit your caption. Revoke the access code or partnership permission the day the term ends.

Common contract mistakes

"Unlimited revisions." Cap rounds at one or two and define a revision as a change to the delivered draft, not a new concept.

"Brand owns all content." Ownership transfer is rarely needed. A license for a set term and set channels gives the brand what it actually uses and leaves you able to show the work in your portfolio.

No kill fee. If the brand cancels after you have filmed, you should still be paid. 50% of the fee is a common floor.

Exclusivity with no end date or a vague category. "Beauty" blocks most of a beauty creator's income. "Vitamin C serums for 30 days" is something you can agree to.

Frequently asked questions

Is this influencer contract template free?

Yes. Fill in the form, then copy the text or use Save as PDF. Nothing is stored and no signup is needed.

What is a UGC contract?

A UGC contract is an agreement where a creator produces videos or photos for a brand to use on its own channels and ads, without posting them to the creator's audience. It sets the deliverables, fee, revisions and, most importantly, how long and where the brand can use the content.

What are UGC usage rights?

Usage rights are the license that lets a brand use your content after you deliver it. They define the term (for example 90 days), the channels (organic social, paid ads, whitelisting, website) and whether the license is exclusive. Paid usage is priced on top of the base creation fee.

How much should I charge for usage rights?

Add 25% to 50% of the base fee for 30 days of paid usage, 50% to 75% for 90 days, and 75% to 150% for perpetual rights. Whitelisting is usually an extra 20% to 50% of the base fee per month.

Who owns UGC content, the creator or the brand?

The creator owns it unless the contract transfers copyright. Most UGC contracts keep ownership with the creator and give the brand a license for a set term and set channels, which is what this template does.

Do I need a lawyer to use this contract?

For a standard brand deal a clear written agreement covers most disputes. For large fees, perpetual buyouts, or deals involving minors or regulated products like supplements and finance, have a lawyer review it first.

What is a kill fee in an influencer contract?

A kill fee is what the brand pays if it cancels after signing. It protects the time you have already blocked out or spent filming. 25% to 50% of the total fee is common, plus any expenses already incurred.
